CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT
Effective upon acceptance
By accessing the restricted project materials on this portfolio ("Content"), you ("Recipient") acknowledge and voluntarily agree to the following terms:
1. CONFIDENTIAL INFORMATION
The Content — including but not limited to project designs, wireframes, prototypes, user flows, metrics, strategic documentation, research findings, and client-identifying information — constitutes Confidential Information belonging to Rafael de Guglielmo ("Owner") and/or the respective client organization.
2. EXISTING CLIENT OBLIGATIONS
Certain materials may be governed by Non-Disclosure Agreements between the Owner and the original client. By viewing this Content, the Recipient assumes equivalent confidentiality obligations and acknowledges that unauthorized disclosure could expose the Recipient to legal liability under those agreements.
3. PERMITTED USE
Access is granted solely for the purpose of evaluating the Owner's professional work in the context of employment, contracting, or collaboration opportunities. No other use is authorized.
4. RESTRICTIONS
The Recipient agrees NOT to:
a) Copy, reproduce, download, or distribute any Content in whole or in part;
b) Share access credentials with any third party;
c) Capture screenshots, recordings, or any derivative reproduction of the Content;
d) Disclose project details, performance metrics, business strategies, or client information to any unauthorized party;
e) Use the Content for competitive analysis or any purpose beyond professional evaluation.
5. TIME-LIMITED ACCESS
Access is provisioned for a defined period tied to the Recipient's verified corporate identity. Credentials expire automatically and may be revoked at any time without notice.
6. MONITORING & LOGGING
All access is logged, including the Recipient's identity, corporate email, timestamps, IP addresses, and viewed materials. These records are maintained for compliance and audit purposes.
7. CORPORATE EMAIL REQUIREMENT
Access is restricted to verified corporate email addresses. Consumer email providers (e.g., Gmail, Outlook, Yahoo) are not accepted, ensuring institutional accountability.
8. BREACH & REMEDIES
Any breach of this agreement may result in:
a) Immediate revocation of access;
b) Notification to the Recipient's employer;
c) Legal action for damages, including injunctive relief.
9. GOVERNING LAW
This agreement shall be governed by and construed in accordance with applicable law. Both parties consent to the jurisdiction of the courts in the Owner's place of residence.
10. ACCEPTANCE
By proceeding past this notice, the Recipient expressly acknowledges having read, understood, and agreed to all terms above. This electronic acceptance constitutes a legally binding signature.
